Draft. These terms set out what we intend, in plain English. They are not final, must be reviewed by a lawyer, and do not yet form a contract for the purchase of Sudex.
This website
You may use getsudex.com to learn about Sudex and to contact us. We try to keep it accurate, but anything described as planned may change before release, and nothing on this site is legal advice.
Your licence
When you subscribe, we grant you a personal, non-transferable licence to install and use Sudex on your computers for your work, for as long as your subscription is active. Sudex is licensed, not sold. You may not copy, resell, reverse engineer or redistribute it, except where the law allows you to regardless.
Subscriptions
- Subscriptions are billed in advance for each period and renew automatically until cancelled.
- You can cancel at any time; your subscription then runs to the end of the period already paid for.
- Sudex checks online about once a month that a subscription is active. If it cannot, or a payment has failed, it keeps working for 14 days, after which its tools stay closed until the subscription is renewed.
- Prices will be shown before you buy, including GST where it applies. We will give at least 30 days’ notice of any price change.
Nothing in these terms limits any right you have under the Australian Consumer Law.
Your documents and your work
Your documents, and everything Sudex makes from them, belong to you. Sudex processes them on your computer; we do not receive them and claim no rights in them. If your subscription ends, the files Sudex made remain yours to keep and use.
Checking your work
Sudex is a tool to help prepare documents. It checks its own results and reports anything it could not do, but it does not know the rules of your court or the requirements of your matter. You remain responsible for reviewing what you file or serve.
Liability
To the extent the law allows, our total liability to you in connection with Sudex is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential loss.
Governing law
These terms are governed by the laws of New South Wales, Australia.
